Potential Darktrace plc (LON:DARK) shareholders may wish to note that the Independent Non-Executive Chairman, Gordon Hurst, recently bought UK£149k worth of stock, paying UK£5.96 for each share. Although the purchase only increased their holding by 4.0%, it is still a solid purchase in our view.

Darktrace Insider Transactions Over The Last Year

Notably, that recent purchase by Gordon Hurst is the biggest insider purchase of Darktrace shares that we've seen in the last year. So it's clear an insider wanted to buy, at around the current price, which is UK£6.00. That means they have been optimistic about the company in the past, though they may have changed their mind. We do always like to see insider buying, but it is worth noting if those purchases were made at well below today's share price, as the discount to value may have narrowed with the rising price. The good news for Darktrace share holders is that an insider was buying at near the current price. Gordon Hurst was the only individual insider to buy during the last year.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. It's great to see that Darktrace insiders own 29% of the company, worth about UK£1.1b. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Do The Darktrace Insider Transactions Indicate?

It's certainly positive to see the recent insider purchase. And an analysis of the transactions over the last year also gives us confidence. However, we note that the company didn't make a profit over the last twelve months, which makes us cautious. Once you factor in the high insider ownership, it certainly seems like insiders are positive about Darktrace. That's what I like to see! While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
