Read This Before Selling Voyageur Pharmaceuticals Ltd. (CVE:VM) Shares

We often see insiders buying up shares in companies that perform well over the long term. On the other hand, we'd be remiss not to mention that insider sales have been known to precede tough periods for a business. So shareholders might well want to know whether insiders have been buying or selling shares in Voyageur Pharmaceuticals Ltd. (CVE:VM).

What Is Insider Selling?

It is perfectly legal for company insiders, including board members, to buy and sell stock in a company. However, rules govern insider transactions, and certain disclosures are required.

We would never suggest that investors should base their decisions solely on what the directors of a company have been doing. But logic dictates you should pay some attention to whether insiders are buying or selling shares. For example, a Harvard University study found that 'insider purchases earn abnormal returns of more than 6% per year.

The Last 12 Months Of Insider Transactions At Voyageur Pharmaceuticals

Over the last year, we can see that the biggest insider purchase was by Independent Chairman of the Board Trent Abraham for CA$100k worth of shares, at about CA$0.075 per share. That means that even when the share price was higher than CA$0.07 (the recent price), an insider wanted to purchase shares. It's very possible they regret the purchase, but it's more likely they are bullish about the company. To us, it's very important to consider the price insiders pay for shares. As a general rule, we feel more positive about a stock if insiders have bought shares at above current prices, because that suggests they viewed the stock as good value, even at a higher price.

Over the last year, we can see that insiders have bought 6.36m shares worth CA$473k. But they sold 48000 shares for CA$5.0k. In total, Voyageur Pharmaceuticals insiders bought more than they sold over the last year. You can see a visual depiction of insider transactions (by individuals) over the last 12 months, below. Are Voyageur Pharmaceuticals Insiders Buying Or Selling?

Over the last three months, we've seen a bit of insider buying at Voyageur Pharmaceuticals. Independent Director Charles Littlejohn bought CA$12k worth of shares in that time. We like it when there are only buyers, and no sellers. But the amount invested in the last three months isn't enough for us too put much weight on it, as a single factor.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Voyageur Pharmaceuticals insiders own about CA$2.0m worth of shares. That equates to 38% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
